What Happens if the Buyer Can't Get Financing?
Home » What Happens if the Buyer Can’t Get Financing?
The Short Answer
By Guaranty Escrow | California real estate resource
If a California buyer cannot obtain financing, the transaction may need lender review, an agreed change, an extension, or cancellation. The loan contingency and its removal status are important, but a financing problem does not automatically cancel the agreement or authorize a deposit refund.
Identify whether the loan is denied, delayed, or still subject to a condition. These are different situations. A lender’s preapproval is not the same as final approval or funding, and escrow cannot decide whether a borrower qualifies for a mortgage.

Clarify the Loan Problem Before Choosing a Next Step
- Get the lender’s actual statusAsk what is outstanding, whether it can be addressed, and how it affects timing.
- Review the contractual protectionYour agent or attorney should check the loan contingency, removal documents, dates, and required notices.
- Coordinate the written resolutionAny agreed extension, amendment, cancellation, or deposit direction must reach the appropriate parties.
Financing Issues That Can Affect Closing
Missing or changed borrower information
Income, employment, credit, or asset information may require additional review. Send sensitive documents only through the lender’s established secure channel.
Ask: What specific requirement remains?
The property or appraisal
Value, condition, insurance, or other property requirements may affect a lender’s decision independently of borrower preapproval.
Ask: Is this a borrower issue or a property requirement?
An unfinished approval
A conditional approval may still require documents or verification before funding. Avoid assuming signing alone completes the loan.
Ask: Has the lender actually cleared funding?
A removed loan contingency
If the relevant protection was removed, withdrawal may create additional risk. The seller’s claim and escrow’s release authority remain separate questions.
Ask: What rights and obligations need attorney review?
A Delay Is Different From a Denial
These are hypothetical process examples, not client case studies or predictions of an outcome.
The lender needs a final verification
The buyer promptly provides requested information. The transaction team assesses whether an extension is needed and asks the lender for an updated schedule.
The proposed loan cannot be approved
The buyer asks the lender for a clear explanation and discusses the contract with the agent or attorney. No one assumes a denial letter automatically returns the deposit.
What Your Escrow Officer Can and Cannot Do
Confirm the file status
Identify documents, funds, and administrative requirements in the escrow file.
Follow valid instructions
Administer authorized funds and documents while remaining a neutral stakeholder.
Respect professional roles
Leave legal rights, loan decisions, technical inspections, and disputed claims with the appropriate advisers.
Escrow can confirm the loan documents or funds received, identify open closing requirements, and administer agreed written changes. It does not underwrite the mortgage, recommend a financing product, waive lender conditions, or determine a buyer’s legal right to cancel.

Common Questions
Will I get the deposit back if the lender denies the loan?
That depends on the contract, contingency status, process followed, and facts. Escrow also needs appropriate release authority.
Does preapproval guarantee funding?
No. Final underwriting, property requirements, verification, and funding steps may remain.
Can a financing contingency protect the buyer?
It may provide a contractual protection, subject to its actual wording and required steps. Your adviser should review the signed agreement.
Can the seller agree to more time?
The parties can discuss a written extension, but a request is not acceptance. Confirm lender timing before proposing a new date.
Can escrow fix the financing problem?
Escrow coordinates the administrative closing process. Loan qualification and funding decisions belong to the lender.
Keep the Escrow Process Clear
